Terms of Use

These terms describe the rules for using the Linguaio platform — for students and teachers. By registering, you agree to them.

1. General provisions

These Terms of Use (the "Terms") are an agreement between you and the operator of the Linguaio platform (the "Platform", "we"). They apply to all users: students and teachers. By registering or using the Platform, you accept these Terms and the Privacy Policy. If you do not agree, do not use the Platform.

2. What Linguaio is

Linguaio is a language-learning platform in which self-study and one-on-one lessons with teachers work under a single methodology: the teacher sees the student's progress and continues the same program. The Platform includes: a level program (CEFR A1–C2), a daily personal plan, exercises, a dictionary, flashcards and reviews, homework, a schedule and a video room for lessons, certificates, as well as student and teacher cabinets.

3. Account and security

An account is required for learning. You undertake to:

  • provide accurate data and keep your email up to date;
  • not share access to your account with third parties; one person — one account;
  • promptly notify us of any suspected compromise of your account.

You are responsible for actions taken under your account. For protection, the following are available: a log of active sessions with the ability to terminate any of them, a password change confirmed by a code sent to email (after the change, the other sessions are terminated). Registration is permitted from the age of 16; for younger users — only through the account of a legal guardian.

4. Roles and workspaces

A single account may have several roles (student, teacher, staff). After signing in, the Platform directs you to the corresponding workspace; with multiple roles, selection and switching without signing in again are available. Workspace data is separated: notifications, chats, and materials of the student cabinet are not mixed with the teacher cabinet.

5. Self-study

The self-study program up to and including level B1 is available free of charge: lessons, exercises, dictionary, flashcards, reviews, and a personal plan. Access to materials above level B1 may be provided through a paid subscription; the price is shown before purchase. The composition of the free and paid parts may change as the Platform evolves — we notify you of material changes in advance, and previously paid subscription periods retain their terms.

6. Lessons with teachers

A teacher can be added at any level, including the very first lesson. Lessons are booked in the Platform's schedule at the prices shown before booking: per individual lesson, as a package of lessons, or under other published terms. Paid lessons are credited to the account balance and deducted upon completion.

Teacher categories differ by specialization and format of work, not by "quality" or level clearance: any category is available to any student. Lesson duration is selected from the options offered at booking.

7. Rescheduling, cancellations, and no-shows

  • a lesson can be rescheduled or cancelled in advance — within the limits shown at booking and in the schedule;
  • a late cancellation or a no-show by the student may be treated as a completed lesson and deducted from the balance;
  • reschedule requests are confirmed by the other party; statuses are visible in the schedule;
  • if a lesson is cancelled by the teacher or the Platform, it is not deducted: the lesson is returned to the balance or rescheduled to another time;
  • systematic cancellations and no-shows by a teacher affect their availability in the catalog and may lead to a restriction of cooperation.

Access to the video room opens shortly before the lesson starts and closes after it ends; the lesson status is recorded automatically and reflected in the history.

8. Homework and lesson materials

A teacher may assign homework, including written and audio answers. By uploading completed work, you grant the Platform and your teacher the right to process it for learning purposes: review, grading, and feedback. Grades and comments are saved in your learning history.

9. Prices, payment, and the validity period of lessons

Prices are shown before purchase and may differ by country, region, and currency; the final amount is confirmed at the payment stage. Payments are processed by third-party payment providers; applicable taxes are included in the price or stated separately — depending on your country. Promo codes, bonus lessons, and promotions apply under published terms, may have restrictions (validity period, number of uses, first payment, etc.), have no independent monetary value, and cannot be exchanged for money.

Validity period of lessons. Paid lessons are valid for a limited period from the date of purchase, depending on the size of the package (the period is deliberately set "with a margin" relative to a comfortable learning pace):

  • up to 96 lessons — 1 year (365 days);
  • 97–156 lessons — 1.5 years (548 days);
  • 157–208 lessons — 2 years (730 days);
  • 209 lessons and more — 2.5 years (913 days).

When a new package is purchased, the validity period of the entire balance — including previously unused lessons — is renewed and counted afresh from the date of the most recent purchase, for the period corresponding to the new package. Upon expiry of the period, unused lessons are forfeited and are not subject to restoration, transfer, extension, or refund. The specified periods knowingly exceed the time reasonably necessary to use the lessons with regular study; by purchasing a package, you confirm that the period is sufficient and agreed.

10. Refunds

A service is deemed duly rendered upon completion of a lesson; a completed (actually rendered) lesson is not subject to refund or compensation. Access to the platform and to self-study is granted immediately after payment — this is a digital service whose performance begins immediately with your consent.

When a refund is possible. A refund of funds for unused lessons is considered solely in the following cases, occurring through our fault:

  • the Platform is unavailable due to a significant technical failure on our side over a long continuous period (as a rule, more than 7 (seven) consecutive calendar days), which makes learning objectively impossible, and we have not offered an equivalent solution;
  • we were unable to provide you with a teacher for the paid course/language within a reasonable time, and you did not agree to the proposed alternative (another teacher, rescheduling, a different course).

When a refund is not provided. A refund is not made for circumstances dependent on you, in particular: non-use or insufficient use of paid lessons; missing, being late for, or not showing up to a lesson; expiry of the package's validity period; "changed my mind" / a change of decision; subjective dissatisfaction in the absence of a material defect in the service; your breach of these Terms that resulted in suspension or termination of access. Making a payment followed by inaction is not a ground for a refund.

Calculation of the refund. Where there is a ground, the refund is calculated after deducting: (a) all actually completed and deducted lessons at their full non-package (retail) price as of the date of purchase; (b) non-refundable payment provider fees and applicable taxes and charges, where their withholding is permitted; (c) the value of used promotional, bonus, and gift lessons, which have no monetary value. The refund is made by the same payment method, in an amount not exceeding what you actually paid. A refund request is submitted to support within 14 (fourteen) calendar days from the moment the ground arose.

Cancellation on our side. If a lesson is cancelled by the teacher or the Platform, the lesson is returned to your balance without any deductions; this is not a monetary refund.

Mandatory consumer rights. Nothing in this section limits or overrides your inalienable rights granted by the mandatory consumer-protection laws of your jurisdiction; to the extent that such laws grant you a greater scope of rights, those rights apply.

11. Terms for teachers

Admission. Teachers undergo identity and qualification verification, familiarize themselves with the Platform's methodology, and conduct lessons within its framework. Uploaded documents and profile data must be accurate; uploading a new document sends it for re-verification.

Work. A teacher manages their own schedule and set of students, undertakes to conduct confirmed lessons on time, and to comply with communication standards. A teacher sees only the progress of their own students and is obliged to maintain the confidentiality of their data.

Remuneration. The cost of lessons, the Platform's commission, and the payout procedure are determined by the published cooperation terms and the cabinet settings (the teacher provides their own payout details). The teacher is solely responsible for their own tax obligations.

Prohibited: accepting payment outside the Platform, diverting students to third-party services, transferring the account to third parties. A breach is grounds for termination of cooperation and withholding of amounts related to the breach within the limits permitted by law.

12. Platform content and license

Learning materials, the program, exercises, audio, the interface, texts, and trademarks belong to the Platform or its licensors. You are granted a personal, non-exclusive, non-transferable license to use the materials for your own learning (teachers — to conduct lessons on the Platform). It is prohibited to copy, sell, publish, and distribute the Platform's materials, or to use them to train competing services and models, without our written permission.

13. Your content

The content you create on the Platform (messages, completed assignments, teacher profile materials) remains yours. You grant us a license to store and process it to the extent necessary for the Platform to operate. You warrant that your content does not infringe the rights of third parties.

14. Unacceptable use

  • insults, discrimination, harassment, and other unacceptable behavior in chats and during lessons;
  • fraud, circumventing payments, using someone else's payment means;
  • attempts at unauthorized access, interference with the operation of the Platform, automated data collection;
  • publishing illegal content and infringing the rights of third parties;
  • impersonating another person or a representative of the Platform.

In case of breaches, we may restrict functionality, suspend, or terminate access to the Platform; in case of serious breaches — without prior notice. Amounts for services actually rendered are not refunded when access is terminated due to a breach.

15. Certificates

The Platform's certificates confirm completion of the corresponding level of the program and are tied to the CEFR scale. A certificate has a verification link. Certificates are not state education documents; recognition of a certificate by third parties remains at their discretion.

16. Disclaimer of warranties

The outcome of learning a language depends on the regularity of lessons and your effort: we provide the methodology, materials, and teachers, but do not guarantee reaching a certain level by a certain date. The Platform is provided "as is" and "as available": we strive for stable operation, but do not guarantee continuity, the absence of errors, or compatibility with any device. Scheduled maintenance and updates may temporarily restrict access.

17. Limitation of liability

To the maximum extent permitted by applicable law: we are not liable for indirect damages, lost profits, loss of data for reasons beyond our control, or force majeure circumstances; our aggregate liability for any claims related to the Platform is limited to the amount you paid for the Platform's services in the 12 months preceding the event. Nothing in these Terms limits liability that cannot be limited by law, or diminishes mandatory consumer rights.

18. Suspension and termination

You may stop using the Platform at any time and request deletion of your account through support; data is deleted in the manner described in the Privacy Policy. We may suspend or terminate access in case of a breach of these Terms, as required by law, or upon discontinuation of the service (in the latter case — with advance notice and a refund for paid services not rendered).

19. Changes to the Terms

We may update these Terms as the Platform evolves. A version history is kept; the effective date of the current version is indicated at the beginning of the document. We will notify you of material changes in the interface or by email no later than 7 days before they take effect. Continued use of the Platform after that date means agreement with the updated Terms; if you do not agree — stop using it and request deletion of your account.

20. Governing law and contacting us

These Terms are governed by the law determined in accordance with the applicable conflict-of-laws rules, without prejudice to the mandatory consumer-protection rules of your country of residence. We strive to resolve any disagreements through negotiation: write to legal@linguaio.com or via the "Contacts" section — we will respond within a reasonable time.
